TERMS AND CONDITIONS

These terms and conditions (the “T&Cs”) apply to www.thesounduniverse.com (the “Site”) and form the terms and conditions on which we supply products and services to you. Please read through the T&Cs prior to using the Site. Your use of the Site indicates that you have acknowledged, understood, and agree to adhere to the T&Cs. If you do not agree to these T&Cs, you are not authorised to access and use the Site, and you must immediately stop doing so.

1. Information About Us

We are Sound Universe International Pte Ltd ("we", "us", "SUI"), a company registered in Singapore. You can contact us by writing to us at info@thesounduniverse.com.

 

If we need to contact you for service-related matters, we will do so by telephone or by writing to you at the email address or postal address you have provided to us in your order. "Writing" or "written" in these T&Cs includes emails.

 

2. Accessing And Using The Site

As a condition of your access to and/or use of the Site, you warrant that:

• All information supplied by you on the Site is accurate, current and complete;

• You are 18 years of age or older in order to access and/or use the Site; and

• You will not copy or distribute any part of the Site in any medium without SUI's prior written authorization.

You shall be solely responsible for your access to and/or use of the Site and its materials herein.

 

3. Your Obligations

​

You must provide true, current and complete information in your dealings with us and must promptly update that information as required so that the information remains true, current and complete.

 

You agree and undertake not to:

• Use the Site for illegal purposes or other than in conformance with the acceptable use policies of any connected computer networks, any applicable Internet standards and any other applicable laws;

• Impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity;

• Attempt to gain unauthorized access to or otherwise interfere or disrupt other computer systems or networks connected to the Site, interfere with another’s utilization and enjoyment of the Site, or use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Site's data or damage or interfere with the operation of another customer’s computer or mobile device or the Site; and

• Post, promote or transmit through the Site any information, graphics, photographs, data and/or any other material that contains any computer virus or other invasive or damaging code, program or macro; infringes any third-party intellectual property or any other proprietary rights; is defamatory, libellous or threatening; is obscene, pornographic, indecent, counterfeited, fraudulent, stolen, harmful or otherwise illegal under any applicable law; and/or is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.

4. Privacy

5. Links To Third Party Sites

The Site may contain links to third party websites that are not affiliated with or owned, operated, or controlled by SUI, including third party payment system providers. You acknowledge and agree that SUI is not responsible for the content, privacy policies, or practices of such third party websites or the companies that own them. By using the Site, you expressly relieve SUI from any and all liability arising from your access and use of any third party website.

 

We encourage you to review the terms and conditions and privacy policies of any third party websites before using them and disclosing your personal data to them.

 

6. Intellectual Property Rights

SUI is the owner or the licensee of all intellectual property rights in and to the content on the Site, and in the material published on it. You may not copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or howsoever deal with any content or material from the Site in any form or by any means without SUI’s prior written permission, and you are solely responsible for obtaining such permission before dealing with any content or material that is available on the Site.

 

7. Disclaimers

To the extent permitted by law, we and our licensors have no liability or responsibility to you or any other person for any loss in connection with:

• The Site being unavailable (in whole or in part) or performing slowly;

• Any error in, or omission from, any information made available through the Site;

• Any exposure to viruses or other forms of interference which may damage your computer system or expose you to fraud when you access or use the Site.  To avoid doubt, you are responsible for ensuring the process by which you access and use the Site protects you from this; and

• Any site linked from the Site. Any link on the Site to other sites does not imply any endorsement, approval or recommendation of, or responsibility for, those sites or their contents, operations, products or operators.

We make no representation or warranty that the Site is appropriate or available for use in all countries or that the content satisfies the laws of all countries.  You are responsible for ensuring that your access to and use of the Site is not illegal or prohibited, and for your own compliance with applicable local laws.

 

8. Liability

To the maximum extent permitted by law:

• You access and use the Site at your own risk; and

• We are not liable or responsible to you or any other person for any Loss under or in connection with these T&Cs, the Site, or your access and use of (or inability to access or use) the Site.  This exclusion applies regardless of whether our liability or responsibility arises in contract, tort (including negligence), equity, breach of statutory duty, or otherwise.

 

9. Indemnities

You agree to indemnify us and hold us and our partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives harmless from any claims, losses, and damages, including reasonable attorneys’ fees, arising out of: 

• Your access of, use of and/or participation in this Site; 

• Breaches of your obligations under these T&Cs; 

• Your violation of any rights of another person or entity; and/or

• Your breach of any statutory requirement, duty or law. 

 

10. Suspension And Termination

Without prejudice to any other right or remedy available to us, if we consider that you have breached these T&Cs or we otherwise consider it appropriate, we may immediately, and without notice, suspend or terminate your access to the Site (or any part of it).

 

On suspension or termination, you must immediately cease using the Site and must not attempt to gain further access.

 

11. Products

​

Prices and availability of the Products are subject to change at the full and absolute discretion of SUI. You agree that the Products on the Site may be re-priced, withdrawn, discontinued, revised or amended at any time and at the sole discretion of SUI.

We try to be accurate as reasonably possible in our descriptions of products available for purchase through the Site. However, our products may vary slightly from their pictures. The images of the products on our Site are for illustrative purposes only. Colours may appear slightly different than in reality due to studio lighting conditions, or variances in computer screen calibration. We do however strive to ensure that screen colours are true to life, as much as possible.

12. Returns and Cancellation

 

Please review our Returns Policy and Cancellation Policy, which applies to  products and services purchased from us.

13. Revisions

​

SUI reserves the right to revise the T&Cs at any time in such a manner as SUI shall, at its sole discretion, determine.

All typographical and clerical errors in any quotation in the T&Cs or on the Site shall be subject to correction by SUI.

14. General

 

• If we need to contact you, we may do so by email or by posting a notice on the Website.  You agree that this satisfies all legal requirements in relation to written communications.

• These T&Cs, and any dispute relating to these T&Cs or the Site, are governed by and must be interpreted in accordance with the law of Singapore. Each party submits to the non-exclusive jurisdiction of the Courts of Singapore in relation to any dispute connected with these T&Cs or the Site.

• For us to waive a right under these T&Cs, the waiver must be in writing.

• Clauses which, by their nature, are intended to survive termination of these T&Cs, continue in force.

• If any part or provision of these T&Cs is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability or invalidity. If a modification is not possible, the part or provision must be treated for all purposes as severed from these T&Cs.  The remainder of these T&Cs will be binding on you.

 

These T&Cs set out everything agreed by the parties relating to your use of the Site and supersede and cancel anything discussed, exchanged or agreed prior to you agreeing to these T&Cs. The parties have not relied on any representation, warranty or agreement relating to the Site that is not expressly set out in the T&Cs, and no such representation, warranty or agreement has any effect from the date you agreed to these T&Cs.
